5. Orders, Payment, and Pricing
5.1 Order Placement
When you place an order through our Website, you are making an offer to purchase food and/or beverages subject to these Terms. Dewey's Pizza reserves the right to accept or decline any order at its sole discretion. An order is considered accepted when you receive an order confirmation from us via email or through the Website. Order confirmations do not constitute a guarantee of availability; in the event that an item is unavailable after an order is placed, we will notify you and offer a suitable alternative or a refund for that item.
5.2 Pricing
All prices displayed on the Website are in United States Dollars (USD) and are subject to applicable sales taxes as required by federal, state, and local laws. Prices are subject to change without notice. In the event of a pricing error, Dewey's Pizza reserves the right to correct the error and cancel any affected orders, providing a full refund of any amounts paid for the cancelled portion of the order.
5.3 Payment Methods
We accept payment via major credit cards, debit cards, and any other payment methods explicitly listed on the Website at the time of checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that the information you provide is accurate and complete.
5.4 Taxes
You are responsible for any applicable federal, state, and local taxes, fees, and surcharges associated with your orders. Dewey's Pizza will collect and remit applicable sales taxes as required by law.
5.5 Refunds and Cancellations
Our refund and cancellation policy is subject to the specific circumstances of each order. If you wish to cancel an order, you must do so before the order has been prepared. Once preparation has begun, cancellations may not be accepted. Refunds, if applicable, will be processed using the original payment method. For questions regarding refunds or cancellations, please contact us at [email protected].
6. Food Allergen and Nutritional Information
Dewey's Pizza takes food safety seriously and endeavors to provide accurate allergen and nutritional information on our Website. However, we cannot guarantee that our products are free from any particular allergen, as our kitchen processes multiple food items that may contain common allergens such as wheat, dairy, eggs, soy, nuts, and shellfish, among others.
Nutritional information provided on our Website is approximate and may vary based on product preparation, ingredient substitutions, and portion sizes. Dewey's Pizza is not liable for any adverse health effects resulting from the consumption of our products, including those related to undisclosed allergens or inaccurate nutritional information, to the fullest extent permitted by applicable law.
7. Intellectual Property Rights
7.1 Ownership
The Website and all of its content, features, and functionality — including but not limited to text, graphics, logos, images, photographs, audio and video clips, digital downloads, data compilations, software, design elements, and the overall look and feel of the Website — are owned by Dewey's Pizza, its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
7.2 Limited License
Subject to your compliance with these Terms, Dewey's Pizza grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website solely for your personal, non-commercial purposes in connection with placing orders and using the Services. This license does not include the right to:
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website or Services for any commercial purpose.
- Modify, create derivative works from, or adapt any materials on the Website.
- Publicly display, perform, or distribute any content from the Website without our prior written consent.
- Remove or alter any copyright, trademark, or other proprietary notices from the Website or its content.
7.3 Trademarks
The Dewey's Pizza name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Dewey's Pizza or its affiliates. You may not use such marks without the prior written permission of Dewey's Pizza. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.
7.4 User Content
If you submit, post, or otherwise make available any content, feedback, reviews, suggestions, or other materials to the Website ("User Content"), you grant Dewey's Pizza a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media. You represent and warrant that you own or have the necessary rights to grant this license, and that your User Content does not violate any third party's intellectual property rights, privacy rights, or any applicable laws.
8. Disclaimers and "As-Is" Basis
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
DEWEY'S PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
- WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIALS ON THE WEBSITE.
- WARRANTIES THAT THE WEBSITE WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.
DEWEY'S PIZZA DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY THIRD PARTIES THROUGH THE WEBSITE OR ANY HYPERLINKED WEBSITE, AND DEWEY'S PIZZA WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
The foregoing disclaimers do not affect any warranties that cannot be excluded or limited under applicable United States federal or state law. Some jurisdictions do not allow the exclusion of certain warranties; therefore, some of the above exclusions may not apply to you.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AFFILIATES, OR SUCCESSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE OR SERVICES;
- UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
- INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE WEBSITE;
- BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE WEBSITE;
- ERRORS OR OMISSIONS IN ANY CONTENT OR MATERIALS ON THE WEBSITE;
- DAMAGES ARISING FROM YOUR RELIANCE ON ANY CONTENT OR MATERIALS PROVIDED THROUGH THE WEBSITE.
IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE WEBSITE OR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
The limitations of liability set forth above are fundamental elements of the basis of the bargain between Dewey's Pizza and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages; therefore, the above limitations may not apply to you in their entirety.
10. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza, its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Website or Services;
- Any User Content you submit or transmit through the Website;
- Your violation of any applicable federal, state, or local law, regulation, or ordinance;
- Your violation of any rights of a third party, including intellectual property rights, privacy rights, or publicity rights;
- Any fraudulent, deceptive, or unauthorized activities carried out through your account.
Dewey's Pizza reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Dewey's Pizza in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Dewey's Pizza.
11. Third-Party Links and Services
The Website may contain links to third-party websites, services, or resources that are not owned or controlled by Dewey's Pizza. Dewey's Pizza has no control over and assumes no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. We do not warrant or represent the accuracy of any information on third-party websites.
You acknowledge and agree that Dewey's Pizza shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party websites or services. We strongly advise you to read the terms of service and privacy policy of any third-party website you visit.
Our Website may integrate with third-party payment processors, delivery platforms, and other service providers. Your use of such third-party services is subject to their respective terms and conditions, and Dewey's Pizza is not responsible for their performance or conduct.
12. Privacy Policy
Your use of the Website and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and share information about you when you use our Services. By using the Website, you consent to the collection and use of your information as described in our Privacy Policy.
We comply with applicable United States federal and state privacy laws, including the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) as applicable, and the Federal Trade Commission Act (FTC Act) with respect to consumer protection and unfair or deceptive acts and practices.
13. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or the Services (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which Dewey's Pizza is registered and operates, without regard to any conflict of law principles that would require the application of the laws of another jurisdiction.
Subject to the dispute resolution provisions set forth in Section 14 below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website or Services shall be brought exclusively in the federal or state courts of competent jurisdiction in the state in which Dewey's Pizza maintains its principal place of business. You hereby consent to personal jurisdiction and venue in such courts and waive any objection to the laying of venue of any such proceeding in such courts.
Nothing in these Terms shall limit Dewey's Pizza's right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or other proprietary interests.
14. Dispute Resolution
14.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy informally by contacting Dewey's Pizza at [email protected] and providing a written description of the dispute, your contact information, and the relief you are seeking. The parties agree to make a good-faith effort to resolve the dispute informally for a period of thirty (30) days from the date the notice is received. If the dispute is not resolved within that period, either party may pursue formal resolution as set forth below.
14.2 Binding Arbitration
IF THE DISPUTE IS NOT RESOLVED INFORMALLY, YOU AND DEWEY'S PIZZA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR YOUR USE OF THE WEBSITE OR SERVICES, SHALL BE RESOLVED SOLELY BY BINDING ARBITRATION, RATHER THAN IN COURT, EXCEPT AS OTHERWISE PROVIDED HEREIN.
The arbitration shall be conducted by a nationally recognized arbitration organization under its then-current rules and procedures, as amended by these Terms. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AND DEWEY'S PIZZA AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, both you and Dewey's Pizza waive any right to a jury trial.
14.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information pending arbitration. You may also assert claims in small claims court if your claims qualify.
15. Term and Termination
15.1 Term
These Terms shall remain in full force and effect for as long as you access or use the Website or Services, unless earlier terminated in accordance with these Terms.
15.2 Termination by You
You may terminate your agreement with these Terms at any time by ceasing all use of the Website and Services and, if applicable, by deleting or requesting the deletion of your user account. Your termination will not relieve you of any obligations incurred prior to the termination date.
15.3 Termination by Dewey's Pizza
Dewey's Pizza may, in its sole discretion, suspend, restrict, or terminate your access to the Website and Services at any time, with or without cause, and with or without prior notice, including if:
- You violate any provision of these Terms;
- Your conduct creates legal liability or harm for Dewey's Pizza or other users;
- We are required to do so by law or regulatory authority;
- We discontinue the Website or Services, in whole or in part.
15.4 Effect of Termination
Upon termination of these Terms, your right to use the Website and Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity obligations, limitations of liability, and dispute resolution provisions.
16. Changes to These Terms
Dewey's Pizza reserves the right to modify, update, or revise these Terms at any time in its sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page. We may also notify you of material changes by sending an email to the address associated with your account or by posting a prominent notice on the Website.
Your continued use of the Website or Services after the effective date of any changes constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must immediately stop using the Website and Services. We encourage you to review these Terms regularly to stay informed of any updates.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law by a court of competent jurisdiction or an arbitrator, such invalidity, illegality, or unenforceability shall not affect any other provisions of these Terms. The remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent to the greatest extent possible.
If a provision cannot be modified in a manner that makes it valid and enforceable, then that provision shall be severed from these Terms and shall not affect the validity or enforceability of the remaining provisions.
18. Entire Agreement and Waiver
These Terms, together with our Privacy Policy and any other legal notices or agreements published by Dewey's Pizza on the Website, constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Website and Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, regarding such subject matter.
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Dewey's Pizza's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
19. Force Majeure
Dewey's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government actions or restrictions, labor disputes, power outages, internet service disruptions, or any other event beyond Dewey's Pizza's reasonable control ("Force Majeure Event").
In the event of a Force Majeure Event, Dewey's Pizza will make reasonable efforts to notify affected customers and resume normal operations as soon as practicable.
20. Electronic Communications and Notices
By using the Website and Services, you consent to receiving communications from Dewey's Pizza electronically. Dewey's Pizza may communicate with you by email or by posting notices on the Website. You agree that all agreements, notices, disclosures, and other communications that Dewey's Pizza provides to you electronically satisfy any legal requirement that such communications be in writing.
You may opt out of receiving promotional or marketing communications from us by following the unsubscribe instructions included in any such communication or by contacting us directly. Please note that even if you opt out of marketing communications, we may still send you transactional emails related to your orders or account.
